1. Introduction
These Terms of Use (“Terms”) govern access to and use of services provided by Interlineus LLC, a Wyoming limited liability company authorized to do business in California, doing business as TaskReef (“TaskReef,” “we,” “us,” or “our”). By accessing or using our website or services, whether through subscription, project engagement, or otherwise (collectively, the “Services”), you (“Client,” “Subscriber,” “you,” or “your”) agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

TaskReef provides administrative, personal, and operational support services. TaskReef does not provide legal, financial, medical, or other professional advice and does not exercise independent judgment or decision-making authority except where expressly agreed in writing.

2. Eligibility and Authority
You represent that you are at least eighteen (18) years old and legally capable of entering into binding agreements. If you use the Services on behalf of another individual or an organization, you represent that you have full authority to bind that party and to grant TaskReef access to any accounts, systems, platforms, or information designated by you.

3. Services Provided
TaskReef provides subscription-based and project-based administrative and personal assistance services delivered by employees and independent contractors. Services may include human-delivered support, technology-assisted workflows, or a combination thereof. The scope, service levels, availability, and pricing may be defined in separate written agreements or service descriptions. TaskReef may modify, suspend, or discontinue Services with reasonable notice where practicable.

You acknowledge that Services are performed based on the information, instructions, timing, and authorizations you provide, and that outcomes depend on factors outside TaskReef’s control, including third-party responsiveness, system availability, and the completeness or clarity of your instructions.

4. Acceptable Use
You agree to use the Services only for lawful purposes and in compliance with these Terms and all applicable laws and regulations. You may not use the Services in any fraudulent, abusive, deceptive, or misleading manner, provide false or inaccurate information, misrepresent your identity or authority, attempt unauthorized access to systems or data, interfere with the operation or security of the Services, or copy, reverse engineer, distribute, or exploit any portion of the Services without TaskReef’s prior written consent.

5. Client Responsibilities, Authorizations, and Delegated Authority
You are solely responsible for the accuracy, legality, and completeness of all information, materials, and instructions you provide to TaskReef, and for obtaining all necessary rights, permissions, and authorizations required for TaskReef to perform Services on your behalf. You acknowledge and agree that TaskReef acts only at your direction and authorization and does not independently evaluate the appropriateness, legality, or advisability of requested tasks unless expressly agreed in writing.

Actions taken by TaskReef in reliance on your instructions, access credentials, approvals, or authorizations are deemed authorized by you. You remain responsible for compliance with all applicable laws, contractual obligations, and third-party terms related to your activities and the accounts, systems, platforms, vendors, or service providers to which you grant access. Nothing in these Terms or the Services creates a fiduciary, agency, partnership, or employment relationship between you and TaskReef.

6. No Outcome Guarantee and No Judgment Disclaimer
TaskReef does not guarantee any particular outcome, result, or level of satisfaction from the Services. You acknowledge that administrative and personal assistance services involve subjective judgment, time sensitivity, and reliance on client-provided direction and third-party systems. TaskReef does not provide strategic, legal, financial, or professional judgment and shall not be responsible for outcomes arising from incomplete, unclear, inaccurate, conflicting, or time-sensitive instructions.

7. Third-Party Platforms and Systems
The Services may involve access to third-party platforms, vendors, financial institutions, communication tools, or service providers designated by you. TaskReef is not responsible for the availability, performance, security, errors, changes, outages, data loss, delays, or failures of any third-party services, nor for actions taken in reliance on information provided by such third parties. You are solely responsible for monitoring activity conducted on your accounts and for compliance with all applicable third-party terms and requirements.

8. Fees and Payment
Subscription fees, billing cycles, and payment terms will be disclosed prior to engagement. Fees are non-refundable except as expressly stated in writing. Failure to pay when due may result in suspension or termination of Services. You are responsible for all applicable taxes other than taxes on TaskReef’s net income.

9. Intellectual Property
All intellectual property related to the Services is owned by Interlineus LLC, doing business as TaskReef, or its licensors. No rights are granted except as necessary to use the Services. You retain ownership of your data, subject to the limited rights required for TaskReef to provide the Services.

10. Confidentiality
Each party agrees to protect the confidentiality of non-public information received in connection with the Services. TaskReef requires employees and independent contractors to adhere to confidentiality and data protection obligations consistent with industry standards.

11. Disclaimers
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, TaskReef disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. TaskReef does not warrant that the Services will be uninterrupted, error-free, timely, or secure.

12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TASKREEF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

IN NO EVENT SHALL TASKREEF’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES EXCEED THE LESSER OF (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO TASKREEF IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE THOUSAND DOLLARS (USD $1,000).

The parties acknowledge that this limitation of liability reflects a reasonable allocation of risk and that TaskReef would not provide the Services without such limitations.

13. Indemnification
You agree to indemnify, defend, and hold harmless Interlineus LLC, doing business as TaskReef, and its members, officers, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Services, your instructions or authorizations, your data, your violation of these Terms, or your failure to comply with applicable laws or third-party obligations, except to the extent caused by TaskReef’s gross negligence or willful misconduct.

14. Termination
Either party may terminate Services with notice, subject to any written agreement. TaskReef may suspend or terminate Services for breach, non-payment, or unlawful conduct. Provisions intended to survive termination shall survive.

15. Modifications
TaskReef may update these Terms from time to time. Continued use of the Services constitutes acceptance of the revised Terms.

16. Notice and Opportunity to Cure
Prior to initiating arbitration or any legal proceeding, you agree to provide written notice of the dispute and allow TaskReef thirty (30) days to attempt informal resolution. Failure to comply with this requirement shall be grounds for dismissal or stay of the proceeding to the extent permitted by law.

17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of laws principles. Any dispute arising out of or related to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association in Cheyenne, Wyoming, unless otherwise required by applicable law.

18. Frivolous or Bad-Faith Claims
If a court or arbitrator determines that a claim or demand brought by you is frivolous, brought in bad faith, or primarily for purposes of harassment, you agree to reimburse TaskReef for its reasonable attorneys’ fees, arbitration fees, and costs incurred in responding to such claim, to the maximum extent permitted by law.

19. Statute of Limitations
Any claim arising out of or related to the Services must be brought within one (1) year of accrual or be permanently barred.

20. Entire Agreement
These Terms, the Privacy Policy, and any written service agreement constitute the entire agreement between the parties and supersede all prior or contemporaneous understandings.
